Acceptance of Terms

By accessing or using Verifyne ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.


Section 2

Description of Service

Verifyne provides an AI-assisted bill verification platform that connects to your accounting software (including QuickBooks and Xero), helps you upload and analyze supporting documents, and generates verification records before payment is processed. The Service is designed for internal finance workflow use and does not itself initiate or execute payments.


Section 3

Account Registration

You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

Third-Party Integrations

The Service connects to QuickBooks Online and other accounting platforms via OAuth. Your use of those platforms is governed by their respective terms of service. Verifyne is not responsible for data accuracy, availability, or changes made within your accounting system.


Section 6

AI-Assisted Verification

Verifyne uses artificial intelligence to analyze documents and flag potential issues. AI outputs are advisory, not conclusive. You remain solely responsible for the decision to approve or reject any bill. Verifyne does not guarantee that all errors, fraud, or discrepancies will be detected.


Section 7

Data and Documents

You retain ownership of all documents and data you upload. By uploading content, you grant Verifyne a limited license to process that content solely to provide the Service. We do not sell your data or use it to train AI models without explicit consent.


Section 8

Subscription and Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as stated in our refund policy. We reserve the right to suspend access for non-payment after reasonable notice.


Section 9

Limitation of Liability

To the maximum extent permitted by law, Verifyne's total liability for any claim arising out of or relating to the Service shall not exceed the amount you paid in the 12 months preceding the claim. Verifyne is not liable for indirect, incidental, or consequential damages including lost revenue, fraudulent payments not detected by the Service, or data loss.

Indemnification

You agree to indemnify and hold Verifyne harmless from claims arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.


Section 11

Termination

Either party may terminate the subscription at any time. Upon termination, your access to the Service will cease at the end of the current billing period. You may export your verification records before termination. We may immediately suspend or terminate accounts that violate these Terms.

Changes to Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
